1. Acceptance of Terms

By accessing or using Match Data Pro (“MDP”), you agree to these Terms of Service and our Privacy Policy. If you’re using MDP on behalf of a company, that company accepts the terms.

2. Services Covered

MDP offers data source matching, deduplication, profiling, cleansing, fuzzy matching, and related data-processing tools under your account, deployed in your environment (cloud or on‑prem).

3. Licensing & Access

• License Scope: Based on record volume (e.g., X records/month).

• User Access: Assigned by you; includes roles (admin, analyst).

• Trial: Limited to Y records at no cost for 30 days.

4. Support & Maintenance

• Included: Bug fixes, updates, documentation access, and community forum support.

• Excluded: Custom development, AI model training, on‑site implementation. These can be purchased separately.

5. Customer Responsibilities

You’re in charge of:

• Supplying data in supported formats.

• Maintaining the execution environment (e.g. PostgreSQL, GCP).

• Configuring match definitions responsibly.

• Complying with applicable data/privacy laws (e.g. GDPR, HIPAA).

6. Restrictions

You must not reverse-engineer the code, remove/MDC branding, or share your license. You also can’t use MDP for hostile/deceptive data scraping or violate laws.

7. Intellectual Property

MDP and its components are the intellectual property of Match Data Pro or its licensors. You retain rights to your own data and transformations defined by you.

8. Fees & Payment

Charges are based on records processed per plan period (monthly, quarterly, annual). Enterprise or educational discounts are available. Fees are non-refundable, except as required by law.

9. Term & Termination

• Term: Begins on subscription purchase date.

• Termination: Either party can terminate with 30 days notice.

• Post-termination: Your data and access are revoked; you must export any data within 60 days.

10. Warranties & Disclaimers

• Limited Warranty: MDP will perform materially according to documentation; support included as described.

• Disclaimer: No guarantees of fitness for a specific purpose, accuracy, or uninterrupted uptime.

11. Limitation of Liability

Maximum liability from MDP is capped at the total subscription fees paid in the prior 12 months. Neither party is liable for indirect or incidental damages.

12. Confidentiality

Both parties will protect each other’s confidential data. MDP may use anonymized usage data for product improvement.

13. Governing Law & Dispute Resolution

These terms are governed by Delaware law. Any disputes not resolved informally may go to arbitration.

14. Changes to Terms

We may update these terms. You’ll be notified 30 days in advance, and continued use means acceptance.
